合同(Contract)

国际贸易合同是不同国家(地区)的当事人通过友好协商，按照一定交易条件，买卖某种商品所达成的协议。

合同以不同的方式分类，主要有以下几种：

1.按合同制作人分类：卖方制作的，称为“销售合同”(Sales Contract);买方制作的，称为“购货合同”(Purchase Contract).

2.按合同的内容繁简分类：分为销售合同(Sales Contract)和销售确认书(Sales Confirmation)。销售合同内容比较全面。

销售确认书经过签字后，也具有销售合同同等法律效力。但它所包括的条款较为简单，一般无检验条款、异议索赔、仲裁和不可抗力等条款，属于一种简式合同。

此外，买卖双方通过往来函电成交后，如双方均不要求签订书面合同，可用往来函电作为依据履行双方的义务。

3.按合同中使用的价格术语分类：可分为“FOB合同”、“CIF合同”及货物到达合同(Arrival Contract)等。

合同的结构，一般包括三部分：

第一部分是合同首部，包括序言、合同名称、编号、缔约日期、缔约地点、缔约双方的名称和地址等。

第二部分是合同的主体部分，规定有双方的权利和义务，包括商品名称、品质规格、数量、包装、单价和总值、交货期、装运港和目的港、支付方式、保险条款、商检条款、异议索赔、仲裁和不可抗力条款等。

第三部分是合同的尾部，包括合同使用文字、份数、效力的有关说明和买卖双方签字。

This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the under-mentioned goods on the terms and conditions stipulated below：

兹经买卖双方同意按照以下条款由买方购进卖方售出以下商品：

(1)Terms of Payment:(付款条件)

The Buyer shall open, through a bank accept by both parties, an irrevocable , transferable and divisible Letter of Credit, in favor of the Seller, payable at sight against first presentation of shipping documents to the Bank of_________. The covering L/C must reach the Seller before_______ and remain valid in _________ until the 15th days (inclusive) from the date of shipment.

卖方于成交后，通过______银行开出以卖方为抬头的不可撤销的、可转让和分割信用证，卖方在货物装船启运后凭本合同交货条款所列的单据在开证行议付货款。装运前15天_____日期前，卖方须收到信用证。

To be affected by the Seller covering 110% of invoice value.

每件货物外包装上应刷上到货口岸、件号、每件毛重及净重、尺码及列唛头。

The Seller shall present the following documents after shipped.

卖方须装运后递交以下文件。

① Full sets of clean on Board ocean Bills of Lading made out to order and blank endorsed marked “Freight Prepaid”, notify applicant.

全套清洁已装船的海运提单、空白抬头、空白背书，注明“运费预付”，通知开证申请人。

②signed commercial invoice in duplicate.

已签署的商业发票一式两份。

③detailed packing list specifying net weight, gross weight and measurement of each packing in metric system in duplicates required.

需要详细写明每件货物公制净重、毛重和尺码的装箱单一式两份。

④insurance policy for not less than 10% over invoice value, blank endorsed, covering all risks as the People’s Insurance Company of China. Claims payable at destination in the currency of draft

保险单，根据中国人民保险公司的保险条款，按发票金额至少加10%投保一切险，空白背书，在目的地按汇票使用的货币进行赔付。

(10)Terms of Shipment :装运条款

①the carrying vessel shall be arranged by the seller, partial shipment and transshipment are allowed.

由卖方负责安排装运，允许分批装运和允许转船。 中大网校论坛

②after loading is completed, the Seller shall notify the Buyer by cable of the contract number, description of goods, quantity , name of carrying vessel and date of shipment.

装运后，卖方须电报通知买方关于合同号、货物描述、数量、承运人、船名和开船日。

③shipment must be effected not later than July 30, 2004

货物不得迟于2004年7月30日装运。

(11)delayed delivery and penalty:延期交货及罚款

Should the Sellers fail to effect delivery on time as stipulated in this contract owing to causes other than force majeure as provided the buyer shall have the right to cancel that part if contract and claim against the Sellers penalty for delayed delivery counted up to the date of cancellation, or the sellers may with the buyer’s consent , postpone delivery on payment of penalty to the buyers. http://ks.wangxiao.cn

除人力不可抗拒原因外，如卖方延期交货，买方有权撤销部分合同，并向卖方提出截止撤销合同日期为止的迟交罚款，或经买方同意在卖方缴纳罚款的条件下延期交货。

(12)arbitration:仲裁条款

All disputes in connection with this contract or the execution thereof shall be amicably settled through negotiation. In case no settlement can be reached between the two parties, the case under dispute shall be submitted to China International Economic and Trade Arbitration Commission. The arbitration shall be executed in accordance with the Rules of Arbitration of the said commission and the decision made by the Arbitration Commission shall be accepted as final judge and binding upon both parties. The fees for arbitration shall be borne by the losing party unless otherwise awarded.

一切因执行本合同所发生或与本合同有关之争执，双方应该友好协商解决，如双方协商不能解决时，此争执应提交中国国际经济贸易仲裁委员会，按该仲裁委员会仲裁程序规则进行仲裁。仲裁委员会的裁决为终局裁定，对双方有约束力。仲裁费用除非仲裁委员会另有决定2外，均由败诉方负担。

(13)other conditions:其他条款

This contract is made out in Chinese and English, both versions being equally authentic.
